Terms and conditions

These terms of use (hereinafter “terms and conditions”) will apply to any and all uses of the service and the online platform, as defined below. Please read these terms and conditions carefully to understand your rights and obligations as a user when using the service.

1. APPLICABILITY AND MODIFICATIONS OF THE TERMS AND CONDITIONS

1.1. The terms and conditions shall apply to any use of the service or online platform. By using the service, visiting the online platform and/or accepting these terms and conditions when creating an account, the user accepts these terms and conditions. The applicability of any other general terms and conditions is excluded.
1.2. Any user residing in a country for which a specific version of these terms and conditions has not been drawn up accepts that this general version of the terms and conditions will always apply to their use of the online platform.
1.3. Regent's Auctions shall have the right at any time to modify or supplement these terms and conditions. The latest updated version of the terms and conditions can be found on the online platform or may be communicated to users while they are using the service. In the event that any modification or addition significantly affects the rights or obligations of users, Regent's Auctions will inform users by email or communicate such modifications on the homepage of the online platform in a clearly visible manner.
1.4. If the user continues to use the service after the modification or additions to the terms and conditions, it is understood that the user irrevocably accepts the modified or supplemented terms and conditions. If the user does not agree with the modified or supplemented terms and conditions, their only option will be to stop using the service and delete their account.

2. GENERAL USE OF THE WEBSITE

2.1. The user agrees that the service and online platform only include the functionality and other properties as the user finds them at the time of use ("as is"). Subastas Regent’s specifically excludes express and implied warranties, commitments and indemnities of any kind, including, without limitation, warranties, commitments and indemnities regarding the quality, security, legitimacy, integrity and correctness of the service.
2.2. The user accepts that the functionalities of the service and the online platform may be subject to modifications.
2.3. Subastas Regent’s is a website dedicated to online auctions and direct sales, with physical support in Badajoz (Spain), whose purpose is the sale by auction via the internet of jewelry, watches, antiques, works of art, collectibles and other artistic objects of similar or different nature that are entrusted to it for this purpose. Subastas Regent’s acts in this case as an intermediary between the owner and the buyer of each lot and, as such, complies with current regulations and provisions.
2.4. The user acknowledges and accepts the particular circumstances that may occur in an internet auction and the (technical) incidents that may arise in it, such as, but not exclusively, the impossibility of (complete) access to the online platform, not being able to submit a bid or not being able to submit it on time, malfunction or failures in the online platform or in the underlying hardware, network connections or software. Also, maintenance operations of the online platform or the underlying system may prevent (unlimited) access or (temporarily) the submission of a bid. Subastas Regent’s assumes no responsibility for damages suffered by the user as a result of such (technical) incidents.
2.5. The user acknowledges and accepts that some stipulations of these terms and conditions, due to the nature of some lots, will not apply (fully) to them. In these cases, the stipulations of these terms and conditions will be interpreted reasonably in such a way that they are applicable to the corresponding purchase and sale contract or to the corresponding lot, respecting as far as possible the content, purpose and spirit of said stipulations of these terms and conditions.
2.6. Different, modified or additional rules may apply to (the purchase and/or sale of) some lots than those established in these terms and conditions. Such rules will be indicated as far as possible in the corresponding lot on the online platform.

3. REGISTRATION WITH THE SERVICE

3.1. To make optimal use of the service, the user must create an account as described on the online platform. The user guarantees to Regent's Auctions that the information provided when creating their account is complete, truthful, and up-to-date. During registration, the user must provide a username and password, which will allow them to access the account.
3.2. Regent's Auctions may modify the status of accounts if it deems there are reasonable grounds to do so.
3.3. The user must comply with all tax laws and regulations and, in that framework, must register in the correct capacity and provide the necessary data for this purpose. The user will be fully responsible for the consequences of providing incomplete or incorrect information regarding their tax situation and fully exonerates Regent's Auctions from all third-party claims, including from the Treasury, and from all damages and/or costs arising from or related to it, and Regent's Auctions may pass on such claims, damages, and costs directly to the user.
3.4. The user may not create an account in another person's name and/or provide false information. The user will not be allowed to register using third-party accounts or to allow third parties to register on behalf of the user.
3.5. The user will be responsible for keeping their username and password secret. Therefore, the user will be responsible for any use made of the service using their username and password, and will exonerate Regent's Auctions from any damage arising from the improper use of their username and password. Regent's Auctions will assume that it is the user themselves who is actually accessing with the user's username and password.
3.6. As soon as the user becomes aware or has reason to suspect that a username and/or password has fallen into the hands of unauthorized persons, the user must inform Regent's Auctions of this, without prejudice to their obligation to take immediate measures, such as changing their password.
3.7. In principle, anyone may register with Regent's Auctions. If the user is under 18 years of age, they will need the consent of their legal representative(s) (guardian or at least one of their parents). By accepting these terms and conditions, the user guarantees that they are indeed at least 18 years of age, or that they have obtained the consent of their legal representative(s) to create their account.
3.8. Regent's Auctions reserves the right to modify the registration and access procedures, the password, the username, and/or certain user information, if it deems it necessary in the interest of Regent's Auctions, third parties, or the operation of the service.

4. LOT OFFERING

4.1. The information published in the catalog is obtained after careful study and advice. However, the descriptions included in it constitute exclusively opinions of Subastas Regent's experts, expressly designated by it and, as such, should be considered by users, who must form their own opinions.
4.2. Any statement transcribed in the catalog and referring to the authorship, attribution, nature, origin, date, provenance, and condition of the lots is governed by generally accepted interpretive terms and expressions. The cataloging, certifications, or opinions cited in the catalog are offered and held by Subastas Regent's as useful and complementary information about the cataloged lots, but in no way will they be binding or determine Subastas Regent's responsibilities for them. Therefore, the user interested in purchasing any of the cataloged lots may, at their own expense and prior to their acquisition, make the inquiries and verifications they deem appropriate. Each lot is sold as "seen and accepted" ("cuerpo cierto").
4.3. By participating in the auction, the user declares that they are aware of and agree with the physical, legal, and authorship status of the acquired lots, and that the bid and eventual acquisition are made according to their own criteria and/or that of their advisors, especially regarding the authorship of the work, releasing Subastas Regent's from any responsibility for the opinions expressed in relation to the lots.
4.4. Products displayed in our online catalog may appear larger or smaller than the actual size of said products; in this regard, the actual size of the product will always be indicated in the corresponding scale magnitudes (centimeters, millimeters, etc.) on the product details page. Likewise, the color of the products may appear slightly different from the actual color of the product depending on your device (mobile phone, tablet, personal computer, or others). Thus, Subastas Regent's cannot guarantee that the color, texture, or details of any product are displayed exactly on your device.
4.5. Subastas Regent's strives to provide clear and understandable information about the lot offered; however, Subastas Regent's does not guarantee that product descriptions or other content are exactly, completely, and reliably up-to-date or error-free.
4.6. The weights of the lots expressed in the lot information are approximate. These weights may include stones, mounts, and other elements that make up the jewelry. In the case of watches, only the brand appearing on their dial is transcribed.
4.7. The indication "gold" and "silver" on the online platform is used exclusively for 750/1000 gold and 925/1000 pure silver.
4.8. The prices of each lot are clearly expressed next to its description. The starting price in the online auction may vary and may have a minimum sale price (reserve price) agreed with the owner in advance when applicable. In any case, it will be clearly indicated on the lot.
4.9. In some cases, Subastas Regent's will indicate value estimates for certain lots. Subastas Regent's does not guarantee their accuracy and therefore assumes no responsibility if the lots turn out to have a higher or lower value.
4.10. Lots may be withdrawn by the owner until they are published on the online platform and are visible to other users. From that moment on, the owner may not modify the conditions applicable to the offer. If, at the owner's request, a lot is withdrawn from the online auction in contravention of the above, the owner will be fully responsible for the damages suffered as a result.
4.11. For the sale of certain lots, such as, but not exclusively, tobacco products, alcohol, and (antique) weapons, other conditions and access and/or (legal) age requirements will apply, which will be communicated on the online platform. Users must comply with them.

5. ONLINE AUCTION PROCEDURE

5.1. Users shall follow all reasonable directions and instructions given by or on behalf of Regent's Auctions regarding an online auction. If, during an online auction, a situation arises that is not provided for in these terms and conditions and/or differences arise between users or other irregularities occur, Regent's Auctions shall decide on the matter.
5.2. Regent's Auctions may at any time, before, during, and after the end of an online auction, temporarily or permanently prevent users from bidding on lots.
5.3. For certain categories of online auctions or lots and/or for bids above certain amounts, Regent's Auctions may make it a condition for placing bids that users deposit with Regent's Auctions the amount set by the latter or provide other guarantees of payment fulfillment.
5.4. Participation in an online auction shall be possible during the time specified on the platform. During this time, users may use the "automatic bid" function, during which bids will be placed automatically without user intervention up to a maximum amount determined by the user.
5.5. The minimum amount by which the user must increase a bid shall depend on the highest bid at that time. Minimum bid increments will be indicated on the online platform.
5.6. Each bid shall be deemed to be made by the person through whose account the bid is placed. The user shall at all times be personally bound by bids made through their account, even if a third party places bids through their account.
5.7. The buyer acknowledges and accepts that, if a reserve price has been set by the owner, no purchase agreement will be concluded if the highest bid is lower than said reserve price.
5.8. Unless the exceptions to the right of withdrawal mentioned in article 6.12 apply, and unless specific situations described in the corresponding online auction, the bid placed shall be unconditional and cannot be withdrawn, even if the user uses the "automatic bid" function. The user may not claim typographical errors or mistakes.
5.9. Additional conditions applicable to the offer of lots and/or the placing of bids may be indicated on the online platform and/or in Regent's Auctions (email) messages.

6. CONSUMER RIGHTS

6.1. Consumers shall be entitled to a legal guarantee of conformity for lots.
6.2. Consumers residing in a country within the European Economic Area who purchase a lot through the online platform shall have the right to withdraw from the purchase without giving reasons within 14 days (cooling-off period) under Spanish Law 3/2014 of March 27 or under any foreign law applicable under Article 9 of Directive 2011/83/EU on consumer rights.
6.3. The cooling-off period mentioned in Article 6.2 shall begin on the day on which the consumer, or a third party previously designated by the consumer, other than the carrier, has received the lot, or:
A. If the lot is delivered in several shipments: the day on which the consumer, or a third party designated by them, has received the last shipment.
B. If the delivery of a lot consists of several shipments or several pieces: the day on which the consumer, or a third party designated by them, has received the last shipment or the last piece.
C. In the case of contracts for regular deliveries of lots over a certain period: the day on which the consumer, or a third party designated by them, has received the first lot.
6.4. The consumer must handle the lot and the packaging with care during the cooling-off period. The consumer shall only unpack or use the lot to the extent necessary to determine its nature, characteristics, and functioning. The consumer shall only carry out the same handling and inspection as would be permitted in a retail establishment.
6.5. The consumer shall only be liable for any diminished value of the lot resulting from handling the lot other than that permitted in Article 6.4.
6.6. If the consumer, in accordance with Article 6.2, exercises the legal right of withdrawal, they must notify Subastas Regent’s within the cooling-off period using the withdrawal form, if available; through the contact form on the merchant's website, or by email. Subastas Regent’s will endeavor to process the withdrawal. Upon receipt of the communication, Subastas Regent’s will immediately send the consumer a confirmation of receipt.
6.7. The consumer shall return the lot to Subastas Regent’s as soon as possible, within 14 days of the communication referred to in Article 6.6.
6.8. The consumer shall return the lot with all accessories supplied, if reasonably possible in its original condition and packaging, and in accordance with the reasonable and clear instructions provided by Subastas Regent’s.
6.9. The consumer shall bear the direct costs of returning the lot.
6.10. Subastas Regent’s shall reimburse the purchase price to the consumer, including any delivery costs, but not before receiving the lot in good condition.
6.11. The risk and the burden of proof for the correct and timely exercise of the right of withdrawal shall lie with the consumer.
6.12. The following products and services may be excluded from the right of withdrawal:
A. Products or services whose price depends on fluctuations in the financial market that the professional seller cannot control and that may occur during the withdrawal period, such as in the case of the sale of (goods made from) certain precious metals (gold coins and bars).
B. Contracts for the provision of services, once the service has been fully performed, but only when:
I. The performance has begun with the consumer's prior express consent.
II. The consumer has declared that they will lose their right of withdrawal once Subastas Regent’s has fully performed the contract.
C. Contracts for the supply of accommodation services for purposes other than residential, transport of goods, car rental, and catering, if the contract provides for a specific date or period of performance.
D. Contracts for leisure-related services, if the contract provides for a specific date or period of performance.
E. Products and services sold through public auctions.
F. Immovable property.
G. The supply of goods and the provision of services under contracts requiring the intervention of a notary.
H. Products manufactured according to the consumer's specifications, which are not prefabricated and for which the consumer's individual choice or decision is decisive for their manufacture, or which are clearly personalized.
I. Products that may deteriorate rapidly or have a limited shelf life.
J. Sealed products that are not suitable for return for health protection or hygiene reasons and that have been unsealed after delivery.
K. Products which, after delivery and by their nature, have been inseparably mixed with other products.
L. Alcoholic beverages whose price was agreed upon at the time of concluding the sales contract and which cannot be delivered before 30 days, and whose real value depends on market fluctuations that Subastas Regent’s cannot control.
M. Sealed audio or video recordings and sealed computer software that have been unsealed after delivery.
N. Newspapers, magazines, or periodicals, with the exception of subscriptions to such publications.
O. The supply of digital content not provided on a tangible medium, but only when:
I. The performance has begun with the consumer's prior express consent; and
II. The consumer has declared that they thereby lose their right of withdrawal.

7. PAYMENT FOR AUCTIONED ITEMS

7.1. After the online auction has ended, the user who placed the highest bid will receive an automatic award from Regent’s Auctions with a list of the lots purchased and the purchase price, including, where applicable, shipping costs, buyer's premium, artist’s resale right, if applicable, and any VAT due.
7.2. Based on these invoices, the buyer must pay the purchase price and buyer's premium within the period indicated in the statement to or through Regent's Auctions. The buyer shall ensure that all amounts are received in net amounts, and shall therefore be responsible for any expenses (bank charges), taxes (at source), levies and/or withholdings. The email contains a link to the Regent's Auctions online payment page. Payment must be made using one of the payment methods specified on that page.
7.3. If the buyer fails to pay for the item bid on, the buyer's premium, and, where applicable, the artist's resale right within the stated payment period, they will automatically be in breach of contract with Regent's Auctions, without the need for prior notice. From the moment the buyer is in default, Regent's Auctions reserves the right to claim payment through third parties and to take whatever action it deems necessary to ensure proper use of the service and payment for the awarded lots.

8. DELIVERY AND ACCEPTANCE OF THE LOTS

8.1. Regent’s Auctions will send the sold lots to the buyer, adequately packed, within three (3) business days from the reception of payment by Regent’s Auctions, unless the parties agree that the lots will be picked up or agree to a longer shipping period due to specific circumstances at that time.
8.2. The sold lots will be sent via tracked courier for an amount communicated to the buyer prior to the purchase.
8.3. The buyer who placed the highest bid will be obliged to accept the lot within the specified period. If no period has been specified or agreed upon, the buyer will be obliged to accept the lot within a reasonable period, which in no case may exceed 15 calendar days from the closing day of the corresponding auction.
8.4. Notwithstanding the provisions of article 9.2, the buyer acknowledges and accepts that in the case of cross-border sales contracts, special rules and/or conditions may apply in relation to the import of lots, including, without limitation, customs duties, VAT, import taxes, and customs fees. The buyer must inform themselves about such rules prior to entering into the sales contract. Any additional costs in relation to the foregoing will always be borne by the buyer.

9. USE OF THE SERVICE

9.1. Any use of the service and the online platform shall be at the user's own expense, risk, and responsibility.
9.2. When using the service, the user must comply with all applicable national, European, and international regulations in relation to their bidding, offering, purchasing, and selling activities of lots through the online platform.
9.3. The user must ensure that, when using the service:
A. They will not use any type of malicious software (any type of virus, Trojan, or similar) or other technical resources that could cause damage to the service or online platform, or that could prevent access to the service or online platform, or intend to circumvent technical protection measures.
B. They will not carry out activities that entail an unreasonable and/or disproportionate burden on the service infrastructure and/or impede the functionality of the service.
C. They will not use applications that monitor the service and/or copy parts of it.

10. SERVICE AVAILABILITY AND INTERRUPTION

10.1. Regent's Auctions does not guarantee that all elements of the service and/or online platform will be available at all times without interruptions or breakdowns. Service breakdowns could occur, including but not limited to, as a result of internet or telephone connection failures or due to viruses or malfunctions/defects. Regent's Auctions shall not assume any liability of any kind nor shall it be obliged to indemnify the user for any type of damage resulting from the temporary unavailability or temporary breakdown of the service and/or online platform.
10.2. Regent's Auctions may, at any time, without prior notice, introduce procedural, technical, commercial or any other type of modifications and/or improvements to the service and/or online platform, temporarily disable the service and/or online platform, and/or limit their use, if it deems it necessary, for example, for reasonably required maintenance of the service and/or online platform.

11. INTELLECTUAL PROPERTY

11.1. The intellectual property rights related to the online platform, the service, the information, and the database, including and without limitation, the intellectual property rights over texts, images, design, photographs, software, audiovisual materials, and other materials, shall belong to Subastas Regent's or its licensors.
11.2. In accordance with the conditions set forth in this document, Subastas Regent's will grant the user a limited, personal, revocable, non-exclusive, non-licensable and non-sublicensable, and non-transferable right to use the service and to view the information in the manner and format in which it is made available through the service.
11.3. It is expressly forbidden to copy, make available, use for direct or indirect commercial purposes, or use for any other purpose different from those indicated in these terms and conditions, all or part of the service, online platform and/or information and/or other data, except if Subastas Regent's grants its express written consent for it.
11.4. The user shall not be authorized to decompile or reverse engineer the service, the online platform and/or their source or object codes, except if expressly permitted in accordance with mandatory applicable legislation or with these terms and conditions or at the request or with the permission of Subastas Regent's.
11.5. Subastas Regent's may adopt technological measures to protect the online platform or the service and/or specific parts thereof. The user may not remove or circumvent such technical protection measures, nor offer means to do so.
11.6. It shall not be permitted to remove, make illegible, hide, or modify notices or observations regarding intellectual property rights.

12. PRIVACY

12.1. When creating an account and using the service, the user will provide personal data to Subastas Regent’s S.L. This data will be stored and processed in accordance with Regent's Auctions' privacy policy and applicable laws and regulations.

13. LIABILITY

13.1. Regent's Auctions will not accept any liability for damages resulting from the provision of the service, including, without limitation, damages resulting from or related to the use of the online platform and/or the service, or that are the consequence of an unlawful act or otherwise produced, provided that such exclusion of liability is permitted by the mandatory applicable law.

14. WARRANTIES AND DISCLAIMERS

14.1. The user shall be liable to Subastas Regent's and shall indemnify Subastas Regent's for all damages and costs incurred by Subastas Regent's as a result of:
A. A breach of the terms and conditions attributable to the user.
B. Any act by the user contrary to the proper use of the service.
C. An unlawful act committed against the service.
All expenses incurred and damages suffered by Subastas Regent's that are in any way related to such claims shall be indemnified by the user.

15. DURATION AND TERMINATION

15.1. The user may stop using the service and delete their account at any time. Regent’s Auctions may refuse to delete their account if the user still has outstanding obligations, such as payment or delivery obligations.
15.2. If the user violates these terms and conditions, Regent's Auctions may limit, suspend, or deactivate, in whole or in part, either temporarily or not and with immediate effect, the user's activities in relation to the service; terminate and/or temporarily or permanently delete their account; issue a warning; terminate the service or refuse to provide the service to the user, in addition to other legal actions available to Regent's Auctions. As a result of the foregoing, Regent's Auctions shall not assume any responsibility or obligation to indemnify the user for damages.

16. APPLICABLE LAW AND JURISDICTION

16.1. Purchases made on the online platform are subject to current Spanish regulations and other concordant legislation, with purchases understood to be made at Subastas Regent's registered office at Calle Obispo San Juan de Ribera 11, Badajoz (Spain)
16.2. The parties involved, seller/consignor and buyer, shall comply with the provisions of the Heritage Law, the General Tax Law and the Intellectual Property Law. Operations in which Subastas Regent's is involved are subject to the provisions of Spanish law, and more specifically to the stipulations regulating mediation and deposit contracts. In the event of discrepancies between the parties due to auction operations, the seller, the buyer and Subastas Regent's, waiving any other jurisdiction that may correspond to them, shall submit to the jurisdiction of the courts of Badajoz (Spain).

17. PRICING POLICY

Regent's Auctions offers products whose nature means their value changes according to the market and the cost of raw materials. For this reason, Regent's Auctions reserves the right to modify the prices of the products offered based on the criteria indicated, and no compensation can be claimed after an order has been placed. These price updates will be carried out regularly.
